Terms of Service

In Plain English

  • Pedla is your sales tracking app. You own your data.
  • We use your activity data (doors, pitches, closes) to power your personal tracking, and — if you’re part of a team or enterprise on Pedla — to power team and enterprise dashboards.
  • If you enable location and join a team, your team manager (and enterprise administrators, when enterprise launches) can see the location of your logged activities. Location is stamped when you log an event (door, contact, pitch, close) — we don’t track you continuously or in real time.
  • Your location is never used in industry benchmarks. If your team or enterprise has opted into geographic analysis, your location data is used to generate territory intelligence (close rates by area, heatmaps, coverage) — this stays entirely within your organisation and is never published externally.
  • We may publish anonymous industry benchmarks (e.g. “D2D solar reps average a 4% close rate”) from pooled activity, with strict thresholds to prevent anyone being identified. You can opt out any time.
  • Wellness, journal, and health data is private and never visible to managers or included in benchmarks.
  • Team, region, enterprise, and business tiers are coming soon via a web dashboard at pedla.us.

1. Agreement to Terms

By downloading, installing, or using the Pedla mobile application or website (collectively, the “Service”), you (“User,” “you,” or “your”) agree to be bound by these Terms of Service (“Terms”), along with our Privacy Policy. If you do not agree to these Terms, do not use the Service.

These Terms constitute a legally binding agreement between you and Pedla, Inc. (“Pedla,” “we,” “our,” or “us”).

The Service is currently offered to users in the United States only. If you access the Service from outside the United States, you do so on your own initiative and are responsible for compliance with local laws.

2. Description of Service

Pedla is a sales activity tracking and performance platform designed for sales professionals. The Service includes:

  • Counter-based activity tracking with customisable metrics (doors, contacts, pitches, demos, sales, and more)
  • Statistics, funnel visualisation, and conversion analytics
  • Cloud sync across multiple devices
  • Daily wellness surveys (AM/PM check-ins) with mood, energy, and focus tracking
  • Personal journal, reflections, and habit tracking
  • Health and fitness integration (Apple HealthKit, Google Fit)
  • Team management with manager dashboards and leaderboards
  • Direct messaging between team members
  • Social features including activity feeds, follows, and content sharing
  • Gamification features including XP, levels, streaks, achievements, and challenges
  • Goal setting and progress tracking
  • Optional location tracking for personal, team, and enterprise territory analysis
  • Data export (CSV, JSON)

Coming Soon: Team, Region, Enterprise, and Business Tiers

Pedla plans to introduce tiered management features including team dashboards, regional rollups, enterprise administration, and business licensing. These will be offered primarily via a web dashboard at pedla.us rather than inside the mobile app. We will update these Terms and our Privacy Policy before any such tier becomes available, and separate enterprise or business licensing agreements may apply to organisational deployments.

Features may be added, modified, or removed at our discretion, with notice provided for material changes as described in Section 18.

3. Eligibility

  • You must be at least 13 years old to create an account
  • You must be at least 18 years old (or the age of majority in your jurisdiction) to enter into a paid subscription or use team management features
  • You must provide accurate, current information when creating an account
  • You must not have been previously banned or terminated from Pedla

By using the Service, you represent that you meet these requirements.

Employment obligations. If you use the Service in connection with your employment or contractor engagement, you represent and warrant that you are permitted to use third-party productivity tools and that your acceptance of these Terms and your use of the Service does not conflict with any obligation you owe to your employer or contracting company, including any confidentiality, non-disclosure, data protection, or intellectual property obligations.

4. Account Registration & Security

Creating an Account

You may create an account using email and password or Sign in with Apple. You must provide accurate information and keep it up to date.

Account Security

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately at [email protected] if you suspect unauthorised access

You are responsible for unauthorised access resulting from your failure to maintain credential security. We remain responsible for unauthorised access resulting from our own failure to implement reasonable security measures.

5. Acceptable Use

You May

  • Use the Service for personal or business sales tracking
  • Share aggregate team statistics with colleagues
  • Export your data for backup or analysis
  • Provide feedback and feature suggestions

You May NOT

  • Share your account credentials with others or create multiple accounts
  • Use the Service for any illegal activity
  • Harass, threaten, bully, or abuse other users
  • Send threatening, abusive, or discriminatory content via messages or posts
  • Upload malicious code, viruses, or harmful content
  • Attempt to reverse-engineer, decompile, or hack the Service
  • Scrape data, automate access, or overload our servers
  • Impersonate other users or misrepresent your identity
  • Falsify counter data or manipulate leaderboard rankings
  • Use manager, enterprise, or administrator permissions for purposes beyond legitimate coaching, performance management, and team or organisational administration consistent with applicable employment law
  • Share individual team member data with unauthorised parties

Data You Input

You represent and warrant that any data you input into the Service is yours to disclose, or that you have obtained the necessary permissions from the relevant party. Do not input confidential information belonging to your employer, contracting company, or any third party unless you are authorised to do so. You are solely responsible for any consequences arising from inputting data you were not authorised to disclose.

Violation of these rules may result in immediate account suspension or termination.

6. Your Data

Data Ownership

You retain ownership of the data you enter into Pedla. By using the Service, you grant us a limited, non-exclusive licence to store, process, and display your data for the purpose of providing the Service. We may use aggregated, anonymised data for internal service analytics and service improvement without identifying you.

Location Data Use

If you enable location permissions, Pedla records your location at the moment you log a counter event (door, contact, pitch, demo, close, or other custom counter). Pedla does not track your location continuously, in the background, or in real time. Location is captured only at the point of each logged event and associated with that event.

Location data you contribute is used within the Service at three levels:

  1. Personal: Your own heatmaps, route history, and performance-by-area within your account
  2. Team: If you are part of a managed team, your team manager can see your individual logged-event locations, activity heatmaps, and territory analysis within the team context, including your individual rep-level location data for coaching and performance management purposes
  3. Enterprise (Coming Soon): If you are part of an enterprise deployment, authorised enterprise administrators and regional managers can view individual and aggregated location data within their organisation’s context

Location data is excluded from Aggregate Sales Intelligence products. Geographic performance analysis is available as a separate opt-in feature for teams, regions, and enterprises, operating entirely within the organisational context, as described in Section 7. Location data is never sold to or shared with third parties for their own purposes, except where your manager or enterprise administrator has configured an authorised integration as described in Section 7.

Important — team join acknowledgement. When you accept a team invitation, you will be shown a clear notice covering the full scope of data access within the organisational hierarchy that team belongs to. This includes: your team manager, any regional manager overseeing that team’s region, any enterprise administrator for the organisation, and any authorised integrations (such as CRMs) configured by the organisation. If you have location enabled, all of the above can access your individual logged-event location data within their respective scope. You must acknowledge this notice before joining. You may decline to enable location permissions and still use Pedla’s core features; location is optional.

Aggregate Sales Intelligence

Separately from the service-improvement use above, you grant us a licence to use aggregated, anonymised data derived from platform activity — including activity metrics, funnel conversion rates, and seasonal performance patterns — to develop and offer commercial sales benchmarking products that report on industry-wide patterns by self-reported industry category.

What is included in this licence:

  • Industry-level performance metrics (close rates, funnel conversions, activity benchmarks, seasonal patterns) grouped by the industry category you self-report
  • Cross-industry pooled aggregates

These benchmarks are also made available to managers as part of their team reporting dashboards, enabling direct comparison between their team’s performance and industry averages for their category.

What is not included in this licence and will never be used in commercial benchmarking products:

  • Location data of any kind. Geographic performance analysis is a separate opt-in feature that operates entirely within the organisational context — see Section 7
  • Any identifier of the specific company or employer you work for (Pedla does not collect, store, or infer your employer)
  • Individual rep identifiers
  • Team, enterprise, or manager structure
  • Wellness survey responses, mood and energy ratings, journal entries
  • Health or fitness data from HealthKit or Google Fit

Anonymisation standard. We apply the following minimum thresholds before any metric is published:

  • Industry-wide aggregates with no additional dimensions: at least 10 unique user accounts
  • Industry-level aggregates with one additional dimension (e.g. season, product category): at least 25 unique user accounts
  • Industry-level aggregates with two or more additional dimensions: at least 50 unique user accounts
  • Cross-industry pooled aggregates: at least 10 unique user accounts

Each user account counts as one contributor regardless of the number of data points submitted. No single user’s data is weighted in a way that disproportionately influences the aggregate output. Any metric falling below the applicable threshold is suppressed before publication.

This is not a sale of your personal data. You may object to your anonymised data being used for this purpose at any time by emailing [email protected] with subject “Intelligence Opt-Out”. Objections are actioned within 30 days; once actioned, your data is excluded from all future outputs.

Data Deletion

When you delete your account, we immediately and permanently delete your personal data, including: sales activity data, profile information, journal entries, survey responses, messages, preferences, health data, and location data. An anonymised record is retained for referential integrity (e.g. “Deleted User” in team history).

Deletion is immediate and irreversible — export your data before deleting your account.

Data Export

You may export your data at any time via the app’s Settings. Available export formats include JSON and CSV, covering counter events, daily totals, location history, wellness data, habits, badges, and team membership.

7. Team & Enterprise Features

Manager-Rep Relationships

  • Managers can invite reps to their team and view their performance metrics, activity data, leaderboard position, goals, and — if the rep has enabled location permissions — individual event-level location data within the team context
  • Reps can accept or decline team invitations. When accepting, reps are shown a single acknowledgement notice covering the full data access scope of the organisational hierarchy — including their manager, any regional manager, any enterprise administrator, and any authorised integrations — and must acknowledge it before joining
  • Reps can leave a team at any time; upon departure, the former manager immediately and entirely loses access to all of the rep’s data, including any historical data from the period of team membership
  • Manager visibility is limited to data logged within the team context and does not extend to the rep’s full account activity outside the team, including any Pedla activity the rep logs before joining or after leaving the team
  • Journal entries and wellness survey free-text responses are private unless explicitly shared
  • Health and fitness data from HealthKit or Google Fit is never visible to managers

Manager Responsibilities

As a manager, you agree to:

  • Use team performance data, including location data, only for legitimate coaching, motivation, and performance management purposes consistent with applicable employment law
  • Comply with applicable state and federal laws governing employee monitoring, including any written notice or disclosure obligations required of employers in your jurisdiction (e.g. New York, Connecticut, Delaware, California, Illinois)
  • Not share individual rep data with unauthorised parties
  • Not use data visibility to discriminate, retaliate, surveil off-duty activity, or create hostile environments
  • Comply with employment laws and data protection regulations in your jurisdiction

We are not responsible for how managers use rep data outside the Service, and managers (not Pedla) are responsible for complying with any employer notice or consent obligations that apply to monitoring their employees.

Management Hierarchy

Pedla uses a three-tier management structure:

  • Team tier (current): A team consists of reps and their direct management chain (team leader, co-manager, manager). Managers have visibility into their team’s performance and location data as described above.
  • Regional tier (coming soon): A region consists of multiple teams managed by a regional manager. A regional manager has the same visibility into each team’s data — including individual rep-level location data — as those teams’ managers, across all teams in their region.
  • Enterprise tier (coming soon): An enterprise consists of multiple regions managed by an enterprise administrator. An enterprise administrator has visibility across all regions and teams within their organisation.

Data access is enforced at the database level. Higher-level roles have broader visibility consistent with their tier.

Geographic Performance Analysis (Opt-In)

Teams, regions, and enterprises may opt into geographic performance analysis, which applies location data to generate territory intelligence within the organisational context — for example, close rate by area, coverage heatmaps, and route efficiency analysis.

  • Opt-in is a management decision made at team, regional, or enterprise level, consistent with applicable employment law and the organisation’s own policies regarding employee monitoring and data use
  • Data stays internal — geographic analysis outputs are visible only within the organisational hierarchy that opted in and are never contributed to external Aggregate Sales Intelligence products
  • Reps are informed at team or enterprise join that geographic analysis may be active, as part of the acknowledgement described above
  • Disabling location at the device level removes a rep’s location from geographic analysis going forward; it does not affect data already processed

Geographic analysis must be operated in accordance with applicable law, including any employer obligations regarding employee monitoring disclosure in the relevant jurisdiction.

Authorised Integrations

Managers and enterprise administrators may connect Pedla to authorised third-party tools — such as CRM platforms (e.g. Salesforce, HubSpot) — to sync rep activity data within their organisational context. Configuring integrations is an organisational decision made by management; it does not require individual rep approval beyond the acknowledgement made at team or enterprise join.

When an integration is active:

  • Rep activity data (counter events, timestamps, and — if location is enabled — the GPS coordinates of those events) may be transmitted to the connected platform
  • The integration operates as a data processor acting on behalf of the manager or enterprise, within the same organisational context as the team or enterprise itself
  • Data transmitted to an integration is governed by the terms and privacy policy of that third-party platform; managers and enterprise administrators are responsible for ensuring their chosen integrations comply with applicable data protection law
  • Reps can view which integrations are active for their team or enterprise within the app

This is not a sale of your data. Authorised integrations receive data solely to provide services on behalf of the manager or enterprise within which you operate. Location data transmitted via integrations is subject to the same restrictions as location data within the Service: it is used only within the organisational context and never for third-party advertising, benchmarking, or resale.

Disabling location: If you do not want your location included in CRM or other integration syncs, you can disable location permissions in your device settings at any time. Disabling location prevents future location capture; existing events already synced to an integration cannot be retroactively removed from that platform.

Regional Tier (Coming Soon)

Pedla plans to introduce regional management features via a web dashboard at pedla.us. When launched, regional managers will be able to:

  • View performance and individual location data across all teams within their region, at the same level of detail as individual team managers
  • Analyse territory coverage and rep-level location data across all teams in their region
  • Manage team structure and assignments within their region

Reps will be shown an updated team join notice disclosing regional manager visibility when this tier launches.

Enterprise Tier (Coming Soon)

Pedla plans to introduce enterprise-tier features accessible via a web dashboard at pedla.us. When launched, these features will allow authorised enterprise administrators to:

  • View aggregated and individual performance across all regions and teams within their organisation
  • Analyse territory and location data at individual, team, and regional levels within their organisation’s context
  • Manage user provisioning, role assignments, and regional structure
  • Configure organisation-wide opt-out from Aggregate Sales Intelligence

Enterprise data rights. An enterprise licence grants the organisation full access to all data generated by its reps within the Pedla platform — spanning the complete hierarchy from individual rep through team, region, and enterprise — including activity metrics, funnel analytics, and (where location is enabled) individual event-level location data. This data access extends to authorised integrations configured by the enterprise. By joining a team that is part of a region that is part of an enterprise, reps acknowledge that their data flows through this full hierarchy and is accessible to the enterprise under these rights.

Enterprise deployments will be governed by a separate enterprise licensing agreement. These Terms will be updated before enterprise features become available, and enterprise customers will be required to agree to additional terms specific to multi-user organisational use.

8. Health & Fitness Data

If you choose to connect Apple HealthKit or Google Fit:

  • Health data (workouts, steps, sleep) is used solely to auto-complete habits and display wellness correlations within the app
  • Health data is never sold, shared with third parties, or used for advertising
  • Health data is never visible to your team manager, enterprise administrator, or other users
  • Health data is never included in Aggregate Sales Intelligence products
  • You can disconnect health data access at any time via your device settings
  • Health data is deleted when you delete your account

9. Social Features & Content

  • You are responsible for all content you post, share, or send through the Service
  • Content that is illegal, abusive, harassing, discriminatory, or that promotes violence is prohibited
  • We reserve the right to remove content and suspend accounts that violate these Terms
  • You may block other users and report inappropriate content
  • We may employ content moderation to enforce community standards

10. Subscriptions and In-App Purchases

Subscription Plans

Pedla offers optional subscription plans that unlock premium features. Subscription pricing is displayed in the app before purchase. Pricing may vary by region and is determined by Apple App Store and Google Play Store pricing tiers.

Enterprise, team, regional, and business tiers (when available) will be offered via separate contractual arrangements rather than in-app purchases.

Free Trial

Pedla may offer a free trial period for eligible users. If you start a free trial, you will not be charged until the trial period ends. If you do not cancel at least 24 hours before the trial ends, your account will be charged the subscription price.

Auto-Renewal

Subscriptions automatically renew unless auto-renewal is turned off at least 24 hours before the end of the current billing period. Your Apple ID or Google Play account will be charged for renewal within 24 hours prior to the end of the current period at the same price.

Cancellation

You may cancel your subscription at any time through your device’s subscription settings:

  • iOS: Settings → Apple ID → Subscriptions → Pedla
  • Android: Google Play Store → Subscriptions → Pedla

Cancellation takes effect at the end of the current billing period. You will retain access to premium features until that date. No partial refunds are issued for unused portions of a billing period.

Billing

All individual subscription payments are processed through Apple (for iOS) or Google (for Android). Pedla does not directly collect or store payment card information. For billing inquiries, refunds, or payment disputes, contact Apple Support or Google Play Support.

Price Changes

Subscription prices may change from time to time. Price changes are communicated through the App Store or Google Play before your next renewal. You may cancel before the new price takes effect.

Managing Your Subscription

You can view, change, or cancel your subscription at any time in your device’s account settings. Deleting the app does not cancel your subscription.

11. Intellectual Property

The Service, including all code, design, trademarks, logos, and content (excluding user data), is owned by Pedla, Inc. and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works of the Service without our written permission.

You retain ownership of the data you input. Your data is your property.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT GUARANTEE:

  • The Service will be error-free or uninterrupted
  • Data will never be lost or corrupted (please export backups regularly)
  • The Service will meet your specific requirements
  • Third-party integrations (HealthKit, Google Fit, push notifications) will always function correctly

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PEDLA IS NOT LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE, INCLUDING BUT NOT LIMITED TO:

  • Loss of data, profits, or revenue
  • Loss of privacy or reputation
  • Damages from unauthorised access to your account
  • Service interruptions or downtime

Pedla’s total liability for any claims shall not exceed the greater of (a) the amount you paid us in the 12 months preceding the claim, or (b) one hundred US dollars ($100).

Nothing in these Terms limits liability that cannot be excluded by law, including liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.

14. Indemnification

You agree to indemnify and hold harmless Pedla, Inc., its officers, employees, and agents from any claims, liabilities, damages, or costs arising from your violation of these Terms, your misuse of the Service, your input of data you were not authorised to disclose, your use of the Service as a manager or administrator in violation of applicable employment or monitoring laws, or your violation of any law or third-party rights. This indemnification does not apply to the extent prohibited by applicable consumer protection law.

15. Termination

By You

You may delete your account at any time via the app’s Settings. Upon deletion, your personal data is immediately and permanently removed. No refund is provided unless applicable under app store policies. Deleting your account does not cancel your subscription — you must cancel separately via your device’s subscription settings.

By Us

We may suspend or terminate your account if you:

  • Violate these Terms
  • Engage in fraudulent, illegal, or abusive activity
  • Fail to pay subscription fees after reminders
  • We are required by law to terminate your account

Upon termination, your right to use the Service ceases immediately. Provisions that survive termination (Limitation of Liability, Governing Law, Indemnification, the representations in Section 5 regarding data you input) remain in effect.

16. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

Dispute Resolution Process

  1. Informal resolution (30 days): Send a written notice to [email protected] describing the dispute. We will negotiate in good faith for 30 days.
  2. Binding arbitration: If informal resolution fails, disputes will be resolved through binding arbitration under the rules of the American Arbitration Association, not in court.

Exceptions

  • Small claims court (under $10,000)
  • Injunctive relief to prevent irreparable harm
  • Claims that cannot be arbitrated under applicable law

Class Action Waiver

You agree to resolve disputes individually, not as part of a class action or collective proceeding.

17. Consumer Rights

Nothing in these Terms affects your non-waivable statutory rights as a consumer under applicable US federal or state law, including the California Consumer Privacy Act (CCPA) where applicable.

18. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via in-app notification (requiring confirmation of acceptance) or email and give you 30 days to review before changes take effect. Continued use of the Service after that period constitutes acceptance of the updated Terms. If you do not agree, you must stop using the Service and delete your account.

19. Miscellaneous

  • Entire agreement: These Terms and our Privacy Policy constitute the entire agreement between you and Pedla regarding the Service, except where superseded by a separate written agreement signed between you and Pedla (such as an enterprise licence, partnership agreement, or data licensing agreement)
  • Severability: If any provision is found unenforceable, the remaining provisions remain in full effect
  • No waiver: Our failure to enforce any right does not constitute a waiver of that right
  • Assignment: You may not transfer your account or rights. We may assign our rights to a successor or affiliate
  • Force majeure: We are not liable for delays or failures due to circumstances beyond our reasonable control (natural disasters, internet outages, pandemics, etc.)
